End User License Agreement (EULA)

1. License Grant and Scope
Subject to your continuous compliance with this End User License Agreement (EULA) and your timely payment of all applicable subscription fees, CyCity Inc. ("CyCity") grants you a revocable, non-exclusive, non-transferable, non-sublicensable, limited license to install and execute the CyCity Quantum Web Standard (CQWS) daemon software ("Software") strictly on servers owned or legally operated by your organization. This license is granted solely for your internal business operations and cybersecurity defense.
2. Strict Restrictions and Prohibitions
To protect the integrity of the Post-Quantum cryptographic modules, you strictly agree that you shall not, and shall not permit any third party to:
- Decompile, reverse engineer, disassemble, or attempt to derive the source code, underlying ideas, or algorithms of the Software.
- Subject the Software to cryptographic side-channel analysis, timing attacks, power analysis, or deliberate fault injection attempting to extract the private Dilithium or Kyber keys.
- Modify, translate, adapt, or create derivative works from the Software.
- Distribute, sublicense, lease, rent, loan, or offer the Software as a managed service provider (MSP) to third parties without a specific Enterprise Reseller Agreement.
- Remove, alter, or obscure any proprietary notices, copyright, or trademark labels on the Software.
3. High-Risk Activities Disclaimer
The Software is not designed, manufactured, or intended for use in hazardous environments requiring fail-safe performance, such as in the operation of nuclear facilities, aircraft navigation or communication systems, air traffic control, direct life support machines, or weapons systems, in which the failure of the Software could lead directly to death, personal injury, or severe physical or environmental damage ("High-Risk Activities"). CyCity explicitly disclaims any express or implied warranty of fitness for High-Risk Activities.
4. Cryptographic Export Controls and Sanctions
The CQWS Software utilizes strong, military-grade Post-Quantum Cryptography (NIST FIPS 203/204). Consequently, the Software is subject to strict United States export control laws, including the US Export Administration Regulations (EAR) administered by the Department of Commerce, and sanctions programs administered by the Office of Foreign Assets Control (OFAC).
By accepting this EULA, you represent and warrant that you are not located in, under the control of, or a national or resident of any comprehensively embargoed country (e.g., Cuba, Iran, North Korea, Syria, or the Crimea/Donetsk/Luhansk regions) and that you are not listed on any US Government denied-party list. You agree not to export or re-export the Software in violation of US law.
5. Software Updates, Telemetry, and Audit Rights
Mandatory Telemetry: The Software is designed to automatically communicate with CyCity servers via an encrypted tunnel to check for critical cryptographic updates, validate license Endpoint Keys (pings), and transmit intrusion logs. By installing the Software, you explicitly consent to this telemetry connection. Blocking, spoofing, or proxying this connection to falsify license validity will result in an immediate local kill-switch activation and license termination.
Audit Rights: CyCity reserves the right, upon reasonable prior notice, to audit your usage of the Software to ensure compliance with the terms of this EULA. If an audit reveals unlicensed deployment or circumvention of the licensing telemetry, you will be billed retroactively for all unauthorized usage at the standard retail rate, plus the reasonable costs of conducting the audit.
6. Open Source Software Acknowledgment
The CQWS Software may contain or be provided with components subject to various open-source software licenses ("Open Source Components"). Your use of these Open Source Components is governed by, and subject to, the terms and conditions of the specific open-source licenses under which they are distributed. Nothing in this EULA limits your rights under, or grants you rights that supersede, the terms and conditions of any applicable open-source license.
7. Injunctive Relief and Termination
You acknowledge that any breach of the restrictions outlined in Section 2 will cause irreparable harm to CyCity for which monetary damages would be inadequate. Accordingly, CyCity shall be entitled to seek immediate injunctive relief in any court of competent jurisdiction to prevent such breach, in addition to any other legal or equitable remedies.
This license is effective until terminated. CyCity may terminate this EULA immediately and without notice if you materially breach any provision of this agreement or fail to remit payment. Upon termination, the Software will autonomously deactivate, and you must securely wipe and destroy all local copies of the daemon.
