1. Acceptance of Terms

By accessing or using the CyCity Quantum Web Standard (CQWS) platform, software daemons, APIs, graphical user interfaces, documentation, and associated services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Agreement"). This Agreement is a legally binding contract entered into between you, either as an individual or the legal entity you represent (the "Customer", "You", or "Your"), and CyCity Inc., a Delaware corporation, operating in conjunction with CyCity International Pvt Ltd, India (collectively, "CyCity", "We", "Us", or "Our"). If you are entering into this Agreement on behalf of a company, you represent that you have the authority to bind such entity and its affiliates to these terms. If you do not agree with these terms, you must not accept this Agreement and may not use the Services.

2. Provision of Services

CyCity provides Post-Quantum cryptographic kernel shielding and server monitoring software designed to secure data transmission and prevent unauthorized intrusions. The software strictly implements Dilithium (NIST FIPS 204) and Kyber (NIST FIPS 203) cryptographic algorithms.

Service Modifications: CyCity reserves the right to modify, suspend, or discontinue, temporarily or permanently, the Services (or any part thereof) with or without notice. You agree that CyCity shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Services. We will make reasonable commercial efforts to provide notice of any material degradation to the Services.

3. Billing, Payments & Auto-Renewal

Subscription Fees: The Services are billed on a subscription basis ("Subscriptions"). You will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing cycles are set either on a monthly or annual basis, depending on the type of subscription plan you select when purchasing a Subscription. All fees are stated and payable in United States Dollars (USD).

Payment Processing: Payments are processed securely via our third-party payment processor, Stripe. By provisioning a license, you authorize CyCity and Stripe to automatically charge your provided payment method on a recurring basis. You must provide CyCity with accurate and complete billing information.

Taxes: Subscription fees do not include any taxes, levies, duties, or similar governmental assessments of any nature, including but not limited to value-added, sales, use, or withholding taxes, assessable by any local, state, provincial, federal, or foreign jurisdiction (collectively, "Taxes"). You are responsible for paying all Taxes associated with your purchases hereunder. If CyCity has the legal obligation to pay or collect Taxes for which you are responsible, the appropriate amount shall be invoiced to and paid by you.

Non-Payment & Kill-Switch: Failure to pay subscription fees, or chargebacks filed against legitimate charges, will result in the immediate revocation of your Endpoint Key. CyCity explicitly reserves the right to trigger a remote daemon kill-switch to uninstall the shield from unauthorized or unpaid servers without prior notice.

4. Customer Obligations and User Conduct

You agree not to use the Services for any unlawful or prohibited purpose. You may not use the Services in any manner that could damage, disable, overburden, or impair any CyCity server, or the network(s) connected to any CyCity server, or interfere with any other party's use and enjoyment of any Services.

You are entirely responsible for maintaining the confidentiality of your account credentials and Endpoint Keys. Furthermore, you are entirely responsible for any and all activities that occur under your account. CyCity will not be liable for any loss that you may incur as a result of someone else using your password or account, either with or without your knowledge.

5. Intellectual Property Rights

The Services, including all intellectual property rights therein, are and will remain the exclusive property of CyCity and its licensors. You acknowledge and agree that you have no right, title, or interest in or to the Services, except for the limited right to use the Services in accordance with this Agreement and the End User License Agreement (EULA). All rights not expressly granted to you are reserved by CyCity.

6. Indemnification

You agree to defend, indemnify, and hold harmless CyCity, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of this Agreement, your use of the Services, your data, or your violation of any law or the rights of a third party.

7. Limitation of Liability and Disclaimer of Warranties

Disclaimer of Warranties: THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. CYCITY EXPRESSLY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CYCITY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CYCITY, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES ARISING OUT OF THE USE OF, OR INABILITY TO USE, THE SERVICES. UNDER NO CIRCUMSTANCES WILL CYCITY BE RESPONSIBLE FOR ANY DAMAGE, LOSS, OR INJURY RESULTING FROM HACKING, TAMPERING, OR OTHER UNAUTHORIZED ACCESS OR USE OF THE SERVICES OR YOUR ACCOUNT OR THE INFORMATION CONTAINED THEREIN. IN NO EVENT SHALL CYCITY'S CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL AMOUNT PAID BY YOU TO CYCITY DURING THE TWELVE (12) MONTHS PRIOR TO THE INCIDENT GIVING RISE TO THE LIABILITY.

8. Governing Law, Dispute Resolution, and Arbitration

Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, USA, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Arbitration: Any controversy or claim arising out of or relating to this Agreement, or the breach thereof, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be Dover, Delaware. The arbitration shall be conducted in English by a single arbitrator. Judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

Class Action Waiver: YOU AND CYCITY AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

9. Severability and Entire Agreement

If any provision of this Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Agreement will continue in full force and effect. This Agreement, together with the EULA, SLA, AUP, and Privacy Policy, constitutes the sole and entire agreement between you and CyCity regarding the Services.

10. Modifications to Terms

CyCity reserves the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms.
